It’s a popularity contests – Make it Viral
We’re giving away a prize package. The least you can do is tell your friends, family and complete strangers. If you can’t even convince your Mom you’re cool then your chances of getting your hands on this prize package are pretty slim. Half the finalists, that’s 5 of the top 10 for those who failed grade three math, is based on a popularity contest. Your milkshake better bring everyone to the yard.

Your Ability to Not Sound Like an Idiot
Our top 10 finalists will be asked to write a business plan. You can choose not to write a plan, but we’ll choose not to give you our prize package.

1. ELIGIBILITY:
This contest (the "Contest") is open to every legal Canadian resident (except for residents of Quebec) who is between the ages of 18 and 34 as of the date of contest entry. Employees of PropertyGuys.com Inc. ("Sponsor"), its subsidiaries, affiliates, promotion or advertising agencies and members of the immediate families and persons living in the same household of such employees are not eligible. Void where prohibited.
2. HOW TO ENTER:
During the Submission Phase, as the term is defined in section 3 below, visit http://www.YPreneurGene.com (the "Website") and follow the links and instructions to complete the Contest entry registration, including a valid email address you check on a regular basis and home mailing address. P.O. Boxes not permitted. When prompted, upload the following: 1 video of you expressing why you would make a great PropertyGuys.com franchise owner (the “Video”). Once this item is submitted, you will receive 1 eligible entry into the Contest, provided that your entry is in full and complete compliance with the Submission Guidelines and Content Restrictions (collectively, the "Guidelines and Restrictions" described below) as determined by Sponsor in its sole discretion (each eligible entry a "Submission"). By uploading your Video, you represent and warrant that your entry conforms to Guidelines and Restrictions as defined below. Entries found not to conform to the Guidelines and Restrictions, as deemed by Sponsor in its sole discretion, will be deemed ineligible for the Contest, and disqualified. Disqualified entries are not eligible to win a Contest Prize.
Limit is one entry per person
Each entrant may upload 1 eligible Submission during the Submission Phase. Any attempt by any entrant to obtain more than 1 eligible Submission by using multiple/different email addresses, identities, registrations and logins, or any other methods will void all of that entrant's entries and that entrant may be disqualified from this Contest. Uploading an entry constitutes entrant's consent to give Sponsor a royalty-free, transferable, assignable, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such entries and Submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed for any purpose whatsoever, including for promotional or marketing purposes. If necessary, entrant will sign any necessary documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights which entrant grants to use the entries and Submissions or any portion thereof.
Submission Guidelines:
a. The Video must be in a format that can be hosted on YouTube;
b. The Video must not exceed 20 MB in size;
c. The Video must be no more than 5 minutes in length;
d. All components of the Submission must be in English; and
e. The Submission, or any portion thereof, cannot have been submitted previously in a promotion of any kind or exhibited or displayed publicly through any means.
Content Restrictions
The Submission must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights;

Additional Submission Requirements
a. The Submission must not contain any individual(s) other than entrant;
b. No other party, other than the entrant, has any right or title in and to the Submission or any portion thereof;
c. Entrant has all rights necessary to submit the Submission in the Contest in accordance with these Official Rules;
d. The Submission and the entrant’s entry into the Contest, as determined in Sponsor's sole discretion, must not violate any non-competition agreement, restrictive covenant, contract or other legal document entrant has entered with an employer (whether current or former), vendor, client or other third party;
e. The Submission must not contain brand names or trademarks, except for the PropertyGuys.com trademark and any associated PropertyGuys.com elements available on the Website for which entrant has a limited license to use for the sole purposes of creating and uploading a Submission into this Contest;
f. The Video must not contain images, artwork or any other materials not created by entrant;
g. The Submission must not contain material that, in the sole discretion of Sponsor, is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;
h. The Submission must not contain material that, in the sole discretion of Sponsor, promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
i. The Submission must not contain material, footage, elements or components that are unlawful, in violation of or contrary to the laws or regulations in any province where it, or any part thereof, is created.
j. All Submissions and Contest entries, and all parts thereof become the sole property of the Sponsor and will not be returned.
k. All Submissions must be received within the periods set out below.
3. TIMING:
The Promotion begins on Tuesday, September 8, 2009 at 12:00 a.m. Eastern Time ("ET") and ends on, Monday November 16, 2009 at 11:59 p.m. ET (the "Promotion Period"). The Promotion Period consists of a submission phase (the "Submission Phase"), a consumer rating phase (the "Consumer Rating Phase"), a semi-finalist judging phase (the "Semi-Finalist Judging Phase"), a finalist judging phase (the "Finalist Judging Phase") and a casting call judging phase (the "Casting Call Judging Phase") as set forth in the chart below. Sponsor's computer is the official time-keeping device for this Promotion.

Notification and Travel Requirements
Each of the top 10 finalists will be notified by email, phone or registered mail on or about October 31, 2009. Each of the top 3 finalists will be notified by email, phone or registered mail on or about November 9, 2009. The winner will be notified by email, phone, registered mail or in person on or about November 13, 2009. The Top Three (3) Finalist must fulfill any travel (Toronto November 12-16, 2009) or such other requirements as determined by Sponsor in its sole discretion. If any of the Top Three (3) Finalist are unable or fails to do so, he/she will be disqualified and will not be eligible to win any prizes and another Finalist will be selected. In the event that a finalist is disqualified for any reason, if time permits, the sponsor may select in his/her place an alternate finalist. If the alternate finalists are disqualified, then the applicable finalist opportunity will remain un-filled.
4. PRIZE(S):

The Main Prize
The winner of the Contest will win the operating rights to a PROPERTYGUYS.COM franchise. For clarification, the operating rights to a PROPERTYGUYS.COM franchise will include the payment of a PropertyGuys.com initial franchise fee such that the winner may operate a PropertyGuys.com franchise subject to the terms of a PropertyGuys.com franchise agreement. The winner will choose amongst available territories defined by the Sponsor. Failure to enter into a PropertyGuys.com franchise agreement will automatically forfeit the prize without compensation.
Other Prizes
In addition to the main prize, the sponsor has canvassed other organizations for prizes which are part of the prize. All prizes are non-transferable and no substitution will be made unless Sponsor, in its sole discretion, determines otherwise. No cash equivalent. Sponsor reserves the right to substitute a prize or prize component for one of equal or greater value should it become unavailable for any reason. The winner of the Contest must agree to the individual eligibility criteria set out by the individual donors and is responsible for all taxes and fees associated with prize receipt and/or use. Failure to meet the requirements of a winner under the “main prize” section will automatically forfeit the “other prizes” associated to the contest.
CYBF criteria:
Please note that the winner of the YPreneurGene.com contest is subject to the CYBF Application Process and final CYBF approval for funding requirements.
Eligibility for CYBF Program as follows:
1. Satisfactory credit history
2. Produce a complete and viable business plan
3. Complete the Online Ment2B Orientation program with your mentor
4. Agree to work with a mentor for a period of two years
5. Not a full-time student Loan proceeds may NOT be used for refinancing of existing debt
6. If a partnership or a corporation, all partners meeting the age criteria are subject to the CYBF application process

5. SELECTION OF FINALISTS and the WINNER:

Submission Phase
During the Submission Phase, online users will be invited to visit www.YpreneurGene.com which will be linked to YouTube.com. Each time a video is viewed one point will be awarded. The Top 5 most viewed videos will be selected for the top 10 finalists stage. The other 5 finalists will be selected from the remaining entries by the contest judges and based on the entertainment and merit value of the Video and ability of person featured in the Video to connect with the audience.
NOTE:
Individuals meeting the criteria set forth above may view an entrant's Video only 1 time per day during the Consumer Rating Phase. Multiple raters are not permitted to share the same email address. Any attempt by any rater to submit more than the stated number of ratings by using multiple/different email addresses, identities or any other method will void that person's Submission(s) (if any) and ratings and he/she will be disqualified from further participation in the Contest. Use of script, macro or any other automated system to rate is prohibited and all such ratings will be void.
Top 10 -Finalist
Five (5) of the top 10 Finalists will be selected by the judges in its sole discretion. Each entrant’s video will be evaluated based on the following criteria, with the highest three entries proceeding to the “Top 3 Finalist” phase:
For the Video:
• Credibility and enthusiasm.
• Quality of overall presentation.
• Creative ability to describe why you think you would make you a great PropertyGuys.com franchise owner.
NOTE:
In the event of a tie between 2 or more entrants for a potential finalist position, the Submission with the highest "credibility and enthusiasm" score will be selected as the Finalist that moves to the next stage. In the event of a further tie, the entrant with the highest "quality of overall presentation" score will be selected.
Top 3 Finalists
During the Top 3 Finalist Phase, Sponsor will arrange for the 3 Finalists to be interviewed by a panel of appointed judges. If a finalist cannot participate in the required judging phase, the Finalist forfeits the opportunity (unless determined otherwise by Sponsor). The panel of qualified judges will help select the “Main Prize” Winner based on the following criteria:
a. Business Plan for the PropertyGuys.com franchise
b. Ability to speak clearly and concisely.
c. Ability to effectively answer interview questions; and
d. Ability to effectively represent their enthusiasm towards becoming a PropertyGuys.com franchise owner.
Note
Each potential winner may be required (as a condition to being entitled to the prize) to sign an affidavit of eligibility, release of liability and publicity, including but not limited to, the use of winner's name, hometown and photograph without additional compensation (where lawful) which must be signed, notarized and returned to the Sponsor within fifteen (15) days of receipt, or prize will be forfeited and potential winner will be disqualified.
6. PUBLICITY:
Except where prohibited, participation in the Promotion constitutes entrant's consent for the Sponsor and the Sponsor's designees to use entrant's name, likeness and city, town and province of residence for promotional purposes in any media without further consideration. Acceptance of any prize shall constitute and signify am agreement and consent that Sponsor may use the applicable entrant's name, city, province, likeness, Submission and/or prize information (as applicable to finalists and/or the winner of the Contest) in connection with the Contest worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Without limiting the generality of these Official Rules, each entrant shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to the Submission and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use a Submission or any portion thereof for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Each entrant accepts and acknowledges that Sponsor shall not be obligated to use the Submission and that Sponsor in its sole discretion shall have the right to refrain from using the Submission or any portion thereof. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Each entrant will indemnify Sponsor and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including legal fees and legal expenses) arising out of any breach of these terms.

7. OTHER TERMS AND CONDITIONS:
a. No purchase or online access fee necessary.
b. Void where prohibited by law.
c. By entering this Contest entrants agree to abide by all terms of the Official Rules and the decisions of the sponsor, made in its sole discretion, which shall be final.
d. PropertyGuys.com is not responsible for misdirected, lost, late, illegible, forged, destroyed, incomplete, or entries not otherwise in compliance with the Official Rules (and such entries will be disqualified).
e. If for any reason the sponsor elects to discontinue the contest as planned due to any Internet or software-related problem, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes the sponsor reserves the right at its sole discretion to disqualify any individual who causes any such problem, and/or to cancel, discontinue, terminate, modify or suspend the contest. The sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to, or alteration of entries. The sponsor is not responsible for any problem or technical malfunctions of any telephone network or lines, computer online systems, servers or provider, computer equipment, software, failure of any email or entry to be received by the sponsor on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this contest. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
f. The sponsor is not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed transmissions which may limit an entrant's ability to participate in the contest, claim prizes, or damage user's system as a result of participation in the contest or downloading any information necessary to participate in the contest.
g. If a dispute arises regarding who submitted an online entry, the entry will be deemed submitted by the person in whose name the entry was made.
h. Any taxes with respect to receiving the prize are the winner's responsibility.
i. Each winner, by acceptance of a prize, agrees to release PropertyGuys.com, its subsidiary and affiliated businesses and each of their officers, directors, shareholders, employees, advisors, accountants, attorneys, assignees, agents, licensees, representatives and any other person or entity associated with the contest from any and all liability, claims or actions of any kind whatsoever, which may be sustained in connection with the receipt, enjoyment, ownership or use of the prize. By entering the contest, each entrant agrees that (i) any and all disputes, claims, and causes of action arising out of or in connection with the contest or any prizes awarded, shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgements and awards shall be limited to actual out-of-pocket costs incurred, including costs, associated with entering the contest, but in no event will legal fees be awarded or recoverable; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby knowingly and expressly waives all rights to punitive, incidental or consequential damages and/or any other damages other than actual out-of-pocket expenses, and/or any and all right or have damages multiplied or otherwise increased. Entrant acknowledges and agrees that the sponsor, its affiliates and their respective officers, directors, employees, accountants, attorneys and consultants are not responsible for any costs, injuries, losses or damages of any kind arising from or in connection with: (i) incomplete, lost, late, misdirected or illegible entries or for failure to receive entries due to any cause, including out limitation human, transmission, or technical problems, failures, or malfunctions of any kind, whether originating with sender, with PropertyGuys.com, or otherwise, that may limit an entrant's ability to participate in the contest (ii) any injury or damage resulting from participation in the contest and/or the use or misuse of any prize (including, without limitation, claims, costs, injuries, losses and damages related to person injuries, death, damage to, loss or destruction of property, or any claims, costs, injuries, losses, or damages related to or based on the entrant's rights of publicity or privacy, or the entrant's claim that he has somehow been defamed or portrayed in a false light).
j. The sponsor does not assume any responsibility for any schedule changes in the contest timeline, including without limitation, scheduling conflicts, labour strikes, Acts of God, and other unforeseen events that disrupt the contest schedule. The sponsor reserves the right to cancel, modify, or suspend the contest in its sole discretion.
k. In the event of a dispute, entries made by Internet will be declared to have been made by the Authorized Account Holder of the e‐mail address submitted at the time of entry. “Authorized Account Holder” is defined as the natural person who is assigned to an e‐mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e‐mail addresses for the domain associated with the submitted e‐mail address.
l. ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF NEW BRUNSWICK WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER PROVINCIAL LAWS OR REGULATIONS. THE INVALIDITY OR UNENFORCEABLITY OF ANY PROVISION OF THESE RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. IN THE EVENT THAT ANY PROVISION IS DETERMINED TO BE INVALID OR OTHERWISE UNENFORCEABLE OR ILLEGAL, THESE RULES SHALL OTHERWISE REMAIN IN EFFECT AND SHALL BE CONSTRUED IN ACCORDANCE WITH THEIR TERMS AS IF THE INVALID OR ILLEGAL PROVISION WERE NOT CONTAINED HEREIN. EACH PERSON WHO PARTICIPATES IN THE CONTEST IRREVOCABLY AGREES THAT THE PROVINCIAL AND FEDERAL COURTS LOCATED IN NEW BRUNSWICK SHALL HAVE EXCLUSIVE JURISDICTION OVER ANY SUIT OR OTHER PROCEEDING ARISING OUT OF OR BASED UPON THIS AGREEMENT AND EACH HEREBY WAIVES ANY CLAIM THAT IS NOT SUBJECT PERSONALLY TO THE JURISDICTION OF SAID COURTS OR THAT ANY SUCH SUIT OR OTHER PROCEEDING IS BROUGHT IN AN INCONVENIENT FORUM OR IMPROPER VENUE.
m. For the name of the winners, send a self addressed postage stamped envelope to PropertyGuys.com Inc. by December 31st, 2009.
n. The Sponsor is collecting, retaining and using personal information about entrants, and disclosing it to third parties if necessary, for the purpose of administering this contest, for the purpose of awarding and delivering prizes and announcing the winner as set out above. No further marketing communications will be received by entrants unless entrants provide explicit permission to do so.
By entering the Contest, each entrant agrees to be bound to all of the rules, terms and conditions set forth above.

Contest Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

Definitions

In these Official Contest Rules ("Rules"), the following terms have the meanings set out below. In addition, other capitalized terms have the meaning so given to them.

"Contest" means the contest, game, sweepstake, promotion, marketing activity or other event specified in the Contest Summary;

"Contest Facilitators" means, collectively, the Administrator, the Organizer and any sponsors arranged by the Organizer;

Contest Requirements” means the guidelines and criteria that entrants must abide by to be eligible for the Contest;

Contest Site” means a subdomain of the Site or a domain or website of the Organizer;

"Contest Summary" means the Contest summary page for a particular contest, which specifies certain information for that Contest;

"Administrator" means Strutta.com Media Inc.;

"Organizer" means the organization that organizes and sponsors an Contest, as specified in the Contest Summary;

Prize” or “Prizes” means the prize or prizes (if there are multiple prizes) to be awarded for a particular Contest as specified in the Contest Summary;

"Region" means the region(s) selected in which the Contest is held; and

Site” means www.strutta.com any and any services available thereon.

  1. Eligibility: The Contest is FREE to enter and open to all individuals, who are legal residents of the Region(s) specified and have reached the legal age of majority in their Region of residence at the time of their Entry (as defined below), or if a minor at the time of their Entry, have their parent’s or legal guardian’s knowledge and consent to enter (“you” or “Contestant”). It is your responsibility to ensure that you are legally eligible to enter an Contest under any laws applicable to you in your jurisdiction of residence or otherwise. The employees, officers and directors of the Contest Facilitators as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee, officer and director are not eligible to participate in the Contest. The Contest is void outside the Region specified and where prohibited by applicable federal, state, provincial or local laws, rules or regulations.
  2. Agreement to Official Rules: By participating in the Contest, you fully and unconditionally agree to and accept these Rules and the decisions of the Organizer and/or Administrator, which are final and binding in all matters related to the Contest. Whether or not you receive a Prize is contingent upon fulfilling all requirements set forth in these Rules. The Contest is subject to all applicable federal, state, and local laws. The Organizer is responsible for ensuring the Contest complies with all laws in all jurisdictions where the Contest is offered. CONTESTS are void where prohibited by law.
  3. Contest Period: The Contest opens on the date and time specified in the Contest Summary, and ends on the date and time specified in the Contest Summary (the "Contest Period"). All times specified are Pacific Standard Time (PST). The Administrator’s computer is the official time-keeping device for the Contest.
  4. How to Enter: To enter the Contest, complete the registration form for a Strutta account (the "Registration Form") on the Site with your name, email address, birth date and any required questions as specified by the Administrator, and then follow the directions specified for the Contest in the Contest Summary during the Contest Period. You must register for a Strutta account in order to participate in an Contest. You must then provide an entry ("Entry") that fulfills the contest requirements ("Contest Requirements"), as specified in the Contest Summary, to be eligible to win a Prize. Entries that do not include all the required information and adhere to the Rules will be considered void. The Contest Facilitators are not responsible for lost, misdirected or incomplete Entries.

The Organizer determines if an Entry meets the Contest Requirements and otherwise complies with the Rules.

  1. Terms of Submission: You may enter the Contest as many times as is specified in the Contest Summary. You may delete your Entry at anytime. By participating in the Contest you permit public voting in connection with your Entry.
  2. Rights Granted by you: By entering this Contest, you agree that:
    1. the Administrator and its licensees, successors and assigns will have the right to use all or a part of your Entry, your name and address (city and state/province/territory), and the names, likenesses, photographs, voices and images of all persons appearing in the Entry anywhere in the world and in perpetuity, for future advertising, trade, promotion and publicity in any manner and in any medium now known or hereafter devised throughout the world in perpetuity, without compensation and without notice to you and without consideration, review or approval from you; and
    2. you agree that you will not now nor in the future be paid for your Entry or for granting the Administrator any of the rights set out in these Rules.
  3. Your Representations and Warranties: By entering the Contest, you represent and warrant that:
    1. your Entry, in its entirety, is an original work by you and you have not included third party content (such as writing, poetry, text, graphics, artwork, logos, photographs, likeness of any third party, musical recordings, clips of videos, television programs or motion pictures) in or in connection with your Entry without permission;
    2. your Entry, the use thereof by the Contest Facilitators, or the exercise by the Organizer or Administrator of any of the rights granted by you under these Contest Rules, does not and will not infringe or violate any rights of any third party or entity, including, without limitation, patent, copyright, trademark, trade secret, defamation, privacy, publicity, false light, misappropriation, confidentiality, or any contractual or other rights;
    3. you have all the rights, licenses, permissions and consents necessary to submit the Entry and to grant all of the rights that you have granted to the Contest Facilitators under these Contest Rules;
    4. all persons who were engaged by you to work on the Entry, who appear in the Entry in any manner, or have contributed to the Entry have:
      1. given you their written consent to submit the Entry without claims for payment of any kind; and
      2. provided written permission to include their name, likenesses, image or pictures in or with your Entry (or if a minor who is not your child, you must have the permission of their parent or legal guardian) and you may be asked by the Contest Facilitators to provide such permission in writing to the Contest Facilitators; and
    5. You have read, understood, accept and agree to be bound by the Administrator’s Terms of Service set out at www.strutta.com/terms-of-service and Privacy Policy set out at www.strutta.com/privacy-policy, as they may be amended from time to time.
  4. Prizes: The Organizer will provide the Prize(s) to be awarded for a particular Contest. No substitution of a Prize will be made unless the Organizer, in its sole discretion, determines otherwise. A Prize must be accepted as awarded, and the odds of winning are dependant upon the total number of eligible Entries received for the Contest Period. If, as a result of an error relating to the entry process, drawing or any other aspect of the Contest, there are more potential winners of Prizes than contemplated in these rules, there will be a random draw amongst all eligible Prize claimants after the Contest Closing Date (as set out in the Contest Summary) to award the correct number of Prizes.
  5. Winner(s): The winner(s) ("Winner(s)") of the Prize(s) will be selected, as specified in the Contest Summary, from all eligible Entries received. If you are selected as a Winner, you will be notified of the selection of your Entry by the phone or email address provided by you on the Registration Form. If you do not respond to the phone or email notification of your selection as a Winner within three (3) days, an alternate Winner will be selected to receive the Prize. All decisions of the Organizer in selecting the Winner (s) are final and binding on all Entrants in all matters relating to the Contest.
  6. To Redeem Prize: Except where prohibited, a Winner (or his/her parent/legal guardian if the Winner is a minor in his/her jurisdiction of residence) shall be required to execute and return to the Organizer within ten (10) days of the date notice or attempted notice is sent, an Eligibility, Declaration of Compliance with the Rules and Liability & Publicity Release Form (“Declaration and Release Form”) in order to claim the Prize. To be officially declared a Winner, each selected Entrant must first correctly answer, without assistance of any kind, a mathematical skill-testing question. The skill-testing question, along with Declaration and Release Form, will be forwarded to each Winner by email. A Prize is personal to the Winner and is non-transferable. If a Winner cannot be contacted, or fails to execute and return the Release Form within the required time period (if applicable), or if the Prize is returned as undeliverable, the Winner forfeits the Prize. Acceptance of any Prize shall constitute and signify the Winner's agreement and consent that the Contest Facilitators may use the Winner's name, photo, city, state, likeness, Entry and Prize information in connection with the Contest, worldwide, including on the internet, without limitation and without further payment or consideration, except where prohibited by law. Each Winner (or his/her parent/guardian if the Winner is a minor) is responsible for all taxes and fees associated with receipt of the Prize.
  7. Voting: Online voting begins and ends as stated in the Contest Summary (the "Voting Period"). Anyone who registers on the Site can vote for their favorite Entry or the Entry that best meets the judging criteria during the Voting Period. The Contest Facilitators have the right, in their sole discretion, to maintain the integrity of the Contest, including the right to void votes, including, but not limited to, for the following reasons:
    1. multiple votes from the same user from different IP addresses or from different email addresses; fraudulent entry votes (using a redirect link, a disguised link, a fraudulent link, etc.);
    2. technical malfunction of servers or internet connection;
    3. user(s) recanting their own votes;
    4. technical or content upgrades that render votes incompatible or inconsistent; and
    5. inappropriate conduct in promoting votes (spam, harassment, etc.).
  8. General Conditions: The Contest Facilitators have the right to verify your eligibility and compliance with these Rules, and to disqualify you on the basis of its investigation.

    Your personal information will be processed in accordance with the Administrator’s Privacy Policy, as amended from time to time. You should direct any request to access, update, or correct your personal information to Administrator.

    You may not enter with multiple e-mail and/or street addresses, nor may you use any other device or artifice to submit more than one (1) Entry or vote. If you use fraudulent Entry methods, or otherwise attempt to participate with multiple e-mail and/or street addresses under multiple identities, or use any device or artifice to enter more than one (1) Entry, you will be disqualified. In the event of a dispute as to any Entry, the authorized account holder of the e-mail address used to enter will be deemed to be the person who made the Entry. For the purposes of these Rules, the authorized “account holder” is the natural person assigned an e-mail address by an internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address.

    Nothing contained in these Rules shall be construed to: (i) give any party the power to direct and control the day-to-day activities of the other; (ii) constitute the parties as partners, joint venturers, principal and agent, employer and employee, co-owners or entrants in a joint undertaking; or (iii) allow you to create or assume any obligation on behalf of the Organizer.

    By entering the Contest, you fully and unconditionally agree to and accept these Rules and the decisions of the Contest Facilitators and the members of the voting community, which are final and binding on all matters relating to this Contest.

    Contest Facilitators reserve the right to cancel, modify or suspend the Contest at any time (subject to approval of any regulatory body having jurisdiction), if it is determined that the Contest cannot be run as originally planned or if fraud or any other occurrence comprises the fairness or integrity of the Contest.

    If the Contest is operated in Quebec, Canada, any decision to be made by Administrator may be subject to a ruling of the Régie des alcools des courses et des jeux du Québec.

  9. Liability Provisions: The Contest Facilitators are not responsible for human error, theft, destruction, or damage to Entries or other factors beyond its reasonable control.

    You assume all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected Entries. The Contest Facilitators make no warranty, representation or guarantee, express or implied, in connection with its ability to in any way enable, develop or market the idea set forth in your Entry.

    The Contest Facilitators shall not be liable to a Winner or any other person for failure to supply the Prize or any part thereof, by reason of the Prize becoming for reasons beyond the reasonable control of the Contest Facilitators unavailable or impracticable to award, or for any force majeure event, technical or equipment failure, terrorist acts, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similar or dissimilar beyond the Organizer’s control.

    The Organizer, Administrator and their employees, officers, directors, agents, contractors, representatives, affiliates, divisions, subsidiaries, resellers, dealers, distributors, advertising/promotion agencies (the “Released Parties”) shall not assume any responsibility whatsoever for any of the following: delayed, failed, partial or garbled computer transmissions; technical failures of any kind, including, but not limited to, lost, interrupted or unavailable network, server, internet, or other connections; the availability, accessibility, technical failure or miscommunications of computer, satellite, telephone or cable transmissions; the incorrect or inaccurate capture or failure to capture information whether caused by Site or Contest Site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest; errors of any kind whether human, mechanical, electronic, network or otherwise arising out of or relating to the Contest; theft, loss, destruction or damage to an Entry in whole or in part; and other factors beyond their reasonable control. The Released Parties are not responsible for injury or damage to your or to any other person’s computer related to or resulting from participating in the Contest or downloading materials from or use of the Site or any Contest Site.

    CAUTION: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE THE SITE OR ANY CONTEST SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF APPLICABLE CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, THE ORGANIZER AND ADMINISTRATOR RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW AND TO DISQUALIFY YOU FROM THE CONTEST.

    LIMITATIONS OF LIABILITY AND RELEASE: BY SUBMITTING AN ENTRY, YOU AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE RELEASED AND HELD HARMLESS BY YOU AND YOUR HEIRS, EXECUTORS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS FOR ANY CLAIMS, LIABILITIES, OR CAUSES OF ACTION OF ANY KIND OR NATURE FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES TO PERSONS, INCLUDING, WITHOUT LIMITATION, DISABILITY OR DEATH, AND DAMAGE TO PROPERTY, DUE IN WHOLE OR IN PART, ARISING DIRECTLY OR INDIRECTLY, NOW OR IN THE FUTURE FROM THE DELIVERY, ACCEPTANCE, USE OR MISUSE OF THE PRIZE, ANY AND ALL USE AS PROVIDED HEREIN OF YOUR ENTRY, OR PARTICIPATION IN THIS CONTEST AND/OR ANY RELATED CONTEST. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE SITE AND ANY CONTEST SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE SUCH LIMITATION OR EXCLUSION SHALL APPLY ONLY TO THE EXTENT PERMITTED BY THE LAW IN THE RELEVANT JURISDICTION.

  10. Choice of Law: These Rules shall be governed by and construed in accordance with the laws of the Province of British Columbia, and the laws of Canada, as applicable herein, without reference to its conflicts of laws principles. Any and all disputes, claims, and causes of action with the Contest Facilitators arising out of or connected with this Contest, other than the determination or validity of claims, shall be resolved individually, and exclusively by arbitration under the British Columbia International Commercial Arbitration Centre, in accordance with its rules, as amended from time to time. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest, but in no event attorneys’ fees. You hereby waive all rights to: (i) claim or be awarded any punitive, direct, indirect, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses; and (ii) to have damages multiplied or otherwise increased.
